These Terms of Use govern access to and use of nexonhealthcares.com and the public online services offered by Nexon Health Care LLC ("Nexon Health Care," "we," "us," or "our"). By using this website, you agree to these terms. If you do not agree, do not use the website.
1. Agreement Hierarchy
These terms apply to the public website and general online services. They do not replace documents that apply to a particular service. If documents conflict, the more specific document controls for that subject:

a signed Direct Health Care Agreement controls membership enrollment, included services, payment, cancellation, and termination;

the Telehealth Informed Consent controls telehealth participation;

the Notice of Privacy Practices controls uses and disclosures of PHI;

the Website Privacy Policy applies to public-website and other non-PHI privacy matters; and
-
the Cancellation and Refund Policy controls individual appointment cancellations and refunds.
2. About the Practice and Eligibility
Nexon Health Care is a Florida primary care practice serving adults age 18 and older. Telehealth visits are offered by appointment. You must be physically located in Florida when care is provided and must provide accurate identity, location, contact, and eligibility information. We may decline or discontinue a service when legal, clinical, safety, capacity, or geographic requirements are not met.
Membership enrollment is available. Enrollment requires a separate signed Direct Health Care Agreement. That agreement states the included services, fees, payment terms, cancellation rights, and termination terms. A membership is not health insurance. One-time visits are also available.
3. Website Information Is Not Medical Advice
Public website content is for general education and practice information. It is not a diagnosis, treatment plan, prescription, or substitute for an individualized medical evaluation. Browsing this website, sending a message, requesting an appointment, or submitting payment does not by itself create a provider-patient relationship. A provider-patient relationship begins only when the practice accepts you for care and an appropriate clinical encounter occurs.
4. Emergencies and Crisis Services
Nexon Health Care does not provide emergency services through this website, email, the patient portal, or appointment-request tools. If you may be experiencing a medical emergency, call 911 or go to the nearest emergency department. For a mental health, suicide, or substance-use crisis, call or text 988. Do not wait for a response from Nexon Health Care.
5. Telehealth
Telehealth has benefits, risks, and limitations and may not be appropriate for every concern. A provider may require an in-person examination, testing, urgent care, emergency care, or another clinician. Telehealth does not guarantee a diagnosis, treatment, medication, refill, laboratory order, referral, or other requested outcome. Nexon Health Care does not prescribe Schedule II controlled substances through telehealth. Additional prescribing restrictions may apply under federal or Florida law and professional standards.
6. Scheduling, Payments, and Cancellations
Appointments are not final until confirmed. Prices, included services, and material payment terms will be displayed or otherwise disclosed before purchase. Payment may be required before a visit. Laboratory tests, imaging, medications, pharmacy charges, specialist care, and other outside services are separate unless expressly stated. Individual appointment cancellations and refunds are governed by the Cancellation and Refund Policy. Membership payment, cancellation, and termination terms are governed by the signed Direct Health Care Agreement.
7. Communications and Electronic Records
You agree to provide accurate contact information and to review communications about your appointments and services. Ordinary email and text messaging may not be secure. Do not send PHI, urgent symptoms, or emergency information through ordinary email, a public website form, or social media. Use Elation Patient Passport or another secure method identified by the practice for clinical communications. Electronic acknowledgments and signatures may be used when permitted by law.
8. Privacy and Security
Our Website Privacy Policy explains how public-website and other non-PHI information is handled. Our Notice of Privacy Practices explains how PHI may be used and disclosed and describes patient rights. No online system is completely secure. You are responsible for protecting your account credentials, using a secure device and connection, and promptly notifying us if you suspect unauthorized access.
9. Clinical Judgment and Prescriptions
All clinical decisions are made by the treating licensed professional based on professional judgment, applicable standards of care, available information, and legal requirements. Payment never guarantees a prescription, refill, laboratory order, referral, work note, disability certification, or other requested result. A clinician may refuse a requested treatment or recommend a higher level of care.
10. Your Responsibilities
You agree to:

provide complete and accurate identity, location, medical, medication, allergy, and contact information;

participate from a private and reasonably safe location;

follow agreed care instructions and seek urgent or emergency help when advised;

tell the provider about technical problems, participants, recordings, or safety concerns;

pay valid charges disclosed and accepted before purchase; and

use the website and services lawfully.
11. Prohibited Conduct
You may not attempt unauthorized access; interfere with operation or security; introduce malicious code; scrape, copy, or republish content in violation of law; impersonate another person; submit false or fraudulent information; harass staff; use the services to obtain medication unlawfully; record a visit without the prior express consent of every participant; or use the website in a way that infringes another person's rights.
12. Third-Party Services and Links
The website may link to or rely on services operated by third parties, including website hosting, electronic health record, patient portal, communications, payment, laboratory, pharmacy, and scheduling providers. Third-party services are governed by their own terms and privacy notices. We are not responsible for a third party's independent acts, outages, or content, but this section does not limit any responsibility that applicable law places on Nexon Health Care for selecting, contracting with, or overseeing a service provider.
13. Intellectual Property
Website text, design, graphics, logos, and other content owned by Nexon Health Care are protected by applicable intellectual-property law. You may view and print a reasonable copy for personal, noncommercial use. No other license is granted. You may not remove notices, misuse our name or marks, or reproduce substantial website content without permission, except as allowed by law.
14. Availability and Changes
We may maintain, change, suspend, or discontinue website functions prospectively. We do not promise uninterrupted or error-free access. We may update these terms by posting a revised version with a new Last Updated date. Changes apply prospectively unless applicable law requires otherwise.
15. Limited Website Disclaimer
To the extent permitted by law, the public website and general educational content are provided on an "as available" basis without a guarantee that every page is complete, current, or suitable for a particular purpose. This limited website disclaimer does not waive or reduce duties arising from professional negligence law, informed-consent law, HIPAA, Florida privacy law, licensure requirements, a signed patient agreement, or other rights that cannot lawfully be waived.
16. Governing Law and Venue
Florida law governs these website terms, without overriding federal law or any nonwaivable patient or consumer protection. Any dispute concerning these website terms may be brought in a court with lawful jurisdiction in Florida, unless another controlling agreement or law requires a different forum. These terms do not require arbitration and do not waive a right to a jury trial that otherwise exists.
17. Severability and No Waiver
If a provision is held unenforceable, the remaining provisions will continue to the extent permitted by law. A delay in enforcing a provision is not a waiver. Nothing in these terms limits rights or remedies that cannot legally be limited.
